Environmental Test Solutions – Standard Terms & Conditions

1. PRICING

Prices are exclusive of all federal, state, municipal, or other government, excise, sales, use, occupational, or like taxes now in force or enacted in the future. Any such tax, fee, or charge of any nature whatsoever imposed by any government authority on, or measured by, the transaction between ETS and Buyer shall be paid by Buyer in addition to the prices quoted or invoiced. In the event ETS is required to pay any such tax, fee, or other charge, at any time of sale or thereafter, Buyer shall reimburse ETS.

2. DELIVERY

Delivery shall be made EXW ETS or one of its supplier’s facilities for all shipments. The time of delivery is the time ETS notifies Buyer that the product is ready for shipment. ETS will make every effort to deliver the product on the date specified. ETS will not be held liable for any failure to meet such date. Title to the products and risk of loss or damage to the products shall pass to Buyer upon delivery by ETS to the Delivery Point. Products held or stored at the Delivery Point after the Delivery Date shall be held at the risk and expense of the Buyer. Such expenses will be invoiced to Buyer.

3. SHIPMENT

In the absence of specific shipping instructions, ETS will ship by the method it deems most advantageous. Transportation and insurance charges will be paid by Buyer, or if pre-paid, will be subsequently invoiced to Buyer. Unless otherwise specified, ETS shall have the discretion to use the type of packaging it deems appropriate. When special or export packaging is requested or, in the opinion of ETS, required under the circumstances, the cost of the same, if not set forth in the invoice, will be separately invoiced.

4. TERMS OF PAYMENT

Payment terms are subject to approved credit limits by ETS and are subject to change at any time. ETS will submit an invoice to Buyer requesting payment for each shipment. For standard products and international delivery, Buyer will pay subject to a letter of credit. For custom products and international delivery, Buyer will make payment to ETS as follows: 30% within twenty (20) days after receipt of order, 70% subject to a letter of credit. For standard products and domestic delivery, Buyer will make payment to ETS within thirty (30) days from the invoice date. For custom products and domestic delivery, Buyer will make payment to ETS as follows: 30% within twenty (20) days after receipt of order, 50% at shipment, 20% within thirty (30) days after shipment. Any invoiced amount not received within thirty days of the invoice date shall be subject to a service charge of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less

ETS reserves the right to withhold any shipments or its performance if ETS has not been paid in accordance with these Terms and Conditions or as otherwise set forth in the invoice.

5. WARRANTY

ETS warrants that the system and system upgrades sold will be free from defects in material and workmanship and perform to applicable ETS specifications for a period of one (1) year from date of shipment. Burn-in boards (BIBs), Test Boards and spare parts are warranted for a period of 90 days from date of shipment. Liability will be limited to repairing or, at ETS’s option, replacing defective items which are returned freight pre-paid to ETS after receiving return material authorization (RMA) from ETS.

6. LIABILITY

ETS shall not be liable for any loss, damages or penalty resulting from delay in delivery when such delay is due to causes beyond the reasonable control of ETS, including but not limited to supplier delay, force majeure, act of God, labor unrest, fire, explosion, flood or earthquake. In any such event, the scheduled date of shipment will be deemed extended for a period equal to the delay.

7. CANCELLATION

This contract may be cancelled by Buyer only upon payment of cancellation charges as follows:

In case of special products or standard products with special modifications, this contract may only be canceled by Buyer upon payment of a cancellation charge which equals 100% of purchase price.

8. COMPLIANCE WITH LAWS

Unless specifically included herein, ETS does not represent that its products meet any local, state, or Federal laws, ordinances, regulations, and the like. Compliance with such requirements is the responsibility of the Buyer.

9. ENTIRE AGREEMENT

The terms and conditions as set forth herein shall constitute the entire agreement between ETS and Buyer. ETS shall not be bound by any terms of Buyer’s order which are inconsistent with the terms herein set forth. Acceptance by Buyer of these terms may be made either by written acceptance or by Buyer taking delivery of any products described on the ETS invoice. This contract may not be modified, supplemented, qualified or interpreted by any trade usage or prior course of dealing not made a part of the contract by its express terms. Buyer hereby acknowledges that he has not entered into this agreement in reliance upon any warranty or representation by any person or entity except for the warranties or representations specifically set forth herein.

10. DISPUTE RESOLUTION

This contract shall be construed and the legal relations between the parties determined in accordance with the laws of the State of Texas, United States of America, applicable to contracts made and to be performed therein. The state courts of the County of Collin, State of Texas (or if there is exclusive federal jurisdiction, the United States District Court for the District of Dallas) shall have exclusive jurisdiction over any dispute under or arising out of this Agreement, and Buyer hereby consents to the jurisdiction of such courts. In the event of any legal action to enforce any right under this Agreement, the prevailing party shall be entitled to collect its reasonable attorney’s fees and costs.

1. Is electronic assembly the only manufacturing process ETS provides?

ETS is in the business of providing services including, but not limited to: assembly, manufacturing, repair/rework, and touch-up. We often perform services for our customers on items that they need completed, but may not have the time and/or facilities to do. We currently offer a variety of additional manufacturing services including turnkey assembly, box build, testing and conformal coating. You need something different? 2. Who are some of your customers?

3. Does ETS PCB assembly have fine pitch and BGA capability?

Yes, those are a couple of the technologies we use today. However, ETS develops and invests in technology that customers are seeking.

4. Can ETS provide full Turnkey through final assembly and packaging?

Yes, ETS can procure materials from your BOM, assemble and test the board, provide mechanically assembly, package and then ship directly to you or to your customer.

5. Can ETS help design our PCB for more efficient manufacturing?

Yes, our engineering team, using state of the art software, will assist in designing your boards for optimum efficiency and quality in manufacturing.

6. Can you provide conformal coating?

Yes, ETS can provide conformal coating in house if requested.

7. Can ETS do development work and prototyping?

ETS works with its customers from product development and prototyping all the way through high volume production manufacturing.

8. How do you track and maintain traceability of WIP?

We utilize an MRP system, which in the future can even be accessed by our customers to check order status.

9. Can you directly ship to the end customer?

Yes, we can process your product and ship it directly to your customer, including overseas.

10. Can you accept payment electronically?

Certainly, we have been doing electronic transactions for years.

11. What does the future hold for ETS?

The contract manufacturing market is growing 25-30% per year, a trend that is expected to continue. Since its inception about seven years ago, ETS has grown more than 10-fold. Our strategy is to continue offering the broad range of services currently needed by our customers, while vertically integrating those services to encompass everything except product definition and marketing.
